1 The threshold is calculated based on the total number of voting rights in accordance with the entry in the commercial register.
2 When determining whether the threshold has been exceeded, all equity securities are taken into account which are owned by the acquiring person or whose voting rights have been transferred to the acquiring person in another way, regardless of whether the voting rights may be exercised.
3 Voting rights restricted to a power of attorney granted solely for the purposes of representation at one general meeting are excluded from the calculation.

1 Il valore soglia è calcolato in base al numero totale dei diritti di voto iscritti nel registro di commercio.
2 Per determinare il superamento del valore soglia, occorre considerare tutti i titoli di partecipazione di proprietà dell’acquirente o che conferiscono a quest’ultimo il diritto di voto in altro modo, indipendentemente dal fatto che i diritti di voto siano esercitabili o meno.
3 Non rientrano nel calcolo i diritti di voto il cui esercizio si basa esclusivamente su una procura a fini di rappresentanza a un’assemblea generale.
