Art. 62b Content of investment regulations

(Art. 43 and 44 CISA)

1 The content and approval of the investment regulations are based on the provisions on the fund contract, unless the law or articles of association provide otherwise.

2 When convening the general meeting, the SICAV informs shareholders in the form prescribed in the articles of association about:105

a.
which changes to the investment regulations FINMA has verified; and
b.
which of these changes FINMA has established as being in compliance with the Act.

3 Paragraphs 1 and 2 apply to the articles of association accordingly, provided the latter regulate the contents of the investment regulations.

Art. 62b Contenuto del regolamento di investimento

(art. 43 e 44 LICol)

1 Il contenuto e l’approvazione del regolamento di investimento sono retti dalle disposizioni sul contratto del fondo, sempre che la legge o lo statuto non disponga altrimenti.

2 Con la convocazione dell’assemblea generale la SICAV informa gli azionisti, nella forma prescritta negli statuti, in merito:109

a.
alle modifiche del regolamento di investimento che la FINMA ha esaminato; e
b.
alle modifiche di cui la FINMA ha accertato la conformità legale.

3 I capoversi 1 e 2 si applicano per analogia allo statuto, per quanto esso disciplini contenuti del regolamento di investimento.
