1 The procedure followed by the reviewing body is based on the Administrative Procedure Act of 20 December 196836.
2 The reviewing body shall check prospectuses as soon as they are received.
3 If it ascertains that a prospectus does not meet the statutory requirements, within ten calendar days from the time of receipt it shall notify the submitter of the prospectus accordingly, with reasons, and ask the latter to make the improvements necessary.
4 Within ten calendar days of receiving the rectified prospectus the reviewing body shall decide on whether to approve it.
5 This period is 20 calendar days for new issuers.
6 If the reviewing body fails to issue its decision within the time frames set out in paragraphs 4 and 5, this shall not constitute approval of the prospectus.
1 La procedura dell’organo di verifica è retta dalla legge federale del 20 dicembre 196834 sulla procedura amministrativa.
2 L’organo di verifica sottopone i prospetti a verifica non appena li riceve.
3 Se constata che un prospetto non soddisfa i requisiti legali, l’organo di verifica ne informa la persona che ha presentato il prospetto entro 10 giorni civili dalla sua ricezione, indicandone i motivi, e la invita a metterlo a norma.
4 L’organo di verifica decide in merito all’approvazione del prospetto eventualmente rettificato entro 10 giorni civili dalla sua ricezione.
5 Per i nuovi emittenti il termine è di 20 giorni civili.
6 Se entro i termini di cui ai capoversi 4 e 5 l’organo di verifica non emette alcuna decisione, il prospetto non è considerato approvato.
