Art. 716 1. En général

1 Le conseil d’administration peut prendre des décisions sur toutes les affaires qui ne sont pas attribuées à l’assemblée générale par la loi ou les statuts.

2 Il gère les affaires de la société dans la mesure où il n’en a pas délégué la gestion.

Art. 717 1. In general

1 The members of the board of directors and third parties engaged in managing the company’s business must perform their duties with all due diligence and safeguard the interests of the company in good faith.

2 They must afford the shareholders equal treatment in like circumstances.
