1 À la fin de l’exercice, les bénéfices ou les pertes ainsi que la part de chaque associé sont déterminés sur la base des comptes annuels.280
2 L’intérêt d’une part de l’actif social peut être bonifié à l’associé, dans les conditions fixées par le contrat, même si elle a été diminuée par des pertes subies au cours de l’exercice. Si le contrat n’en dispose pas autrement, l’intérêt est de 4 %.
3 Lors du calcul des bénéfices et des pertes, les honoraires convenus pour le travail d’un associé sont assimilés à une dette de la société.
