1 Le fondé de procuration et le mandataire commercial qui a la direction de toute l’entreprise ou qui est au service du chef de la maison ne peuvent, sans l’autorisation de celui-ci, faire pour leur compte personnel ni pour le compte d’un tiers des opérations rentrant dans le genre d’affaires de l’établissement.
2 S’ils contreviennent à cette disposition, le chef de la maison a contre eux une action en dommages-intérêts et il peut prendre à son compte les opérations ainsi faites.
1 The registered power of attorney and authority to act as commercial agent may be revoked at any time without prejudice to rights accruing to the parties concerned under any existing individual contract of employment, partnership agreement, mandate or the like.264
2 The death or incapacity of the owner of the business does not extinguish the registered power of attorney or authority to act as commercial agent.
