Art. 706b VIII. Nullity

In particular, resolutions of the general meeting shall be void if they:

1.
remove or restrict the right to participate in the general meeting, the minimum right to vote, the right to take legal action or other shareholder rights that are mandatory in law;
2.
restrict the shareholders’ rights of control beyond the legally permissible degree, or
3.
disregard the basic structures of the company limited by shares or the provisions on capital protection.

Art. 706a 2. Procedura

1 Il diritto di contestare le deliberazioni si estingue se l’azione non è proposta entro due mesi dall’assemblea generale.

2 Se l’azione è proposta dal consiglio d’amministrazione, il giudice designa un rappresentante della società.
