Art. 703 1. Im Allgemeinen

1 Die Generalversammlung fasst ihre Beschlüsse und vollzieht ihre Wahlen, soweit das Gesetz oder die Statuten es nicht anders bestimmen, mit der Mehrheit der vertretenen Aktienstimmen.

2 Die Statuten können für den Fall von Stimmengleichheit vorsehen, dass der Vorsitzende den Stichentscheid hat.

Art. 704b 4. Notice the items on the agenda

No resolutions may be passed on motions relating to agenda items for which due notice has not been given; exceptions to this are motions to convene an extraordinary general meeting or to carry out a special audit and to appoint an external auditor.
