1 Issuers of uncertificated securities credited to securities accounts maintained by a custodian shall have the main registry set up by a custodian within six months from the effective date of this Act and have the uncertificated securities registered therein.
2 If, before this Act comes into force, certificated securities in collective deposit, global certificates, or uncertificated securities held by a custodian are disposed of in a manner that fails to comply with the requirements of this Act, the right thus created shall prevail over any right created after the commencement date of the Act provided that the beneficiary effects the book entries required by the Act or causes them to be effected within 12 months after the commencement date hereof.
1 Gli emittenti di diritti valori accreditati su un conto titoli gestito da un ente di custodia devono fare allestire il registro principale presso un ente di custodia e farvi iscrivere i diritti valori entro sei mesi dall’entrata in vigore della presente legge.
2 Se prima dell’entrata in vigore della presente legge si sono prese disposizioni in merito a titoli di credito, certificati globali o diritti valori custoditi collettivamente e tali disposizioni non sono conformi alle norme della presente legge, il diritto acquisito in base a tali disposizioni è prioritario rispetto al diritto costituito dopo l’entrata in vigore della presente legge, a condizione che l’acquirente proceda o faccia procedere alle registrazioni necessarie secondo la presente legge entro 12 mesi dalla sua entrata in vigore.
