Art. 616 II. Insolvency of the partnership

1 The partnership’s creditors are entitled to satisfaction from the partnership’s assets to the exclusion of the personal creditors of the individual partners.

2 Limited partners have no claim as creditors in insolvency for their specific capital contributions.

Art. 614 F. Compensation

1 Le créancier de la société qui est en même temps débiteur personnel du commanditaire ne peut lui opposer la compensation que si le commanditaire est indéfiniment responsable.

2 La compensation est soumise d’ailleurs aux règles établies pour la société en nom collectif.
