Art. 614 F. Set off

1 Where a partnership creditor is simultaneously the personal debtor of a limited partner, the creditor has no right to set off the two debts against each other unless the limited partner has unlimited liability.

2 In other respects, set off is subject to the provisions governing general partnerships.

Art. 612 VIII. Entrée dans une société

1 Celui qui entre en qualité de commanditaire dans une société en nom collectif ou en commandite est tenu jusqu’à concurrence de sa commandite des dettes nées antérieurement.

2 Toute convention contraire entre associés est sans effet à l’égard des tiers.
