958.1 Bundesgesetz vom 19. Juni 2015 über die Finanzmarktinfrastrukturen und das Marktverhalten im Effekten- und Derivatehandel (Finanzmarktinfrastrukturgesetz, FinfraG)
Art. 144 Suspension of voting rights and purchase ban
If there are sufficient indications that a person has not met the notification duty in accordance with Articles 120 and 121, FINMA may, until the notification duty has been clarified and, as appropriate, the notification duty has been fulfilled:
- a.
- suspend the voting rights and associated rights of this person; and
- b.
- prohibit this person from acquiring further shares or acquisition or sale rights relating to shares of the company in question, be it directly, indirectly or acting in concert with third parties.
Art. 144 Stimmrechtssuspendierung und Zukaufsverbot
Bestehen hinreichende Anhaltspunkte dafür, dass eine Person ihren Meldepflichten nach den Artikeln 120 und 121 nicht nachkommt, so kann die FINMA, bis zur Klärung und gegebenenfalls bis zur Erfüllung der Meldepflicht:
- a.
- das Stimmrecht und die damit zusammenhängenden Rechte dieser Person suspendieren; und
- b.
- dieser Person verbieten, direkt, indirekt oder in gemeinsamer Absprache mit Dritten weitere Aktien sowie Erwerbs- oder Veräusserungsrechte bezüglich Aktien der betroffenen Gesellschaft zu erwerben.
