Art. 722 VI. Directors’ and officers’ liability

The company shall be liable for any loss or damage caused by unauthorised acts carried out in the exercise of its business activities by a person authorised to manage or represent the company.

Art. 719 4. Zeichnung

Die zur Vertretung der Gesellschaft befugten Personen haben in der Weise zu zeichnen, dass sie der Firma der Gesellschaft ihre Unterschrift beifügen.
